Limited Liability Partnership “Center of Hematology”, Business Identification Number (BIN) 151040023516, hereinafter referred to as the “Contractor”, licensed to perform medical activities under License No. 22023535 dated December 9, 2022, represented by General Director Irina Alekseevna Pivovarova, acting on the basis of the Charter, hereby expresses its intention to enter into an agreement with any adult natural person, hereinafter referred to as the “Customer” or “Patient”, for the provision of paid medical services, pursuant to Article 202 of the Code of the Republic of Kazakhstan “On the Health of the People and the Healthcare System”, and on the terms of this offer (hereinafter — the Agreement) as follows:


1. Subject of the Agreement

1.1 This Agreement is a public offer and is posted on the Contractor’s website hemcenter.kz. The provisions of Article 387 of the Civil Code of the Republic of Kazakhstan (Public Agreement) apply. The terms of this Agreement are uniform for all Customers (Patients). In accordance with paragraph 3 of Article 396 of the Civil Code, acceptance of the terms below by any individual constitutes that person’s accession to this Agreement. Under Article 389 of the Civil Code, this Agreement must be accepted by the Customer (Patient) in full, without any conditions, exceptions, or reservations.

1.2 Under this Agreement, the Contractor provides paid medical services for the diagnosis, treatment and/or inpatient treatment of diseases, including without referral from primary or secondary care specialists (hereinafter — the Services), and the Patient accepts and pays for such Services according to this Agreement and supporting payment documents.

1.3 Full and unconditional acceptance (acceptance) of the terms of this Agreement and the date of its conclusion shall be the date on which the Patient signs Appendix No. 1 — the Informed Voluntary Consent for the Provision of Medical Services, including Inpatient Treatment, and for the Processing of Personal Data. The form of such Consent is provided by the Contractor before the delivery of medical services.

1.4 By signing the Informed Voluntary Consent (Appendix No. 1), the Patient confirms that they have read, understood, and agree with the contents of this Agreement and its Appendices.

1.5 By applying for paid medical services, the Patient gives consent to the processing of personal data by the Contractor and its employees. The conditions for data collection and processing are set out in Appendix No. 1. This Agreement is concluded for an indefinite term.

1.6 The list of diagnostic, therapeutic, and accompanying non-medical services, as well as medicines and medical devices used, is specified in the Appendices to the Agreement, which form its integral parts and are posted on the Contractor’s website and/or available at the reception. For certain laboratory tests, the Contractor may use partner laboratories.

1.7 Services are provided in accordance with the Contractor’s licensed medical profile.

1.9 Medical services for minors shall be provided only in the presence of legal representatives or duly authorized persons acting under a notarized power of attorney.

1.10 Admission without prior appointment is possible upon coordination with the reception desk. All calls to the call center are recorded.

1.11 The Patient acknowledges that medical treatment cannot guarantee full therapeutic effect, as complications and side effects may occur due to individual biological characteristics.

1.12 Upon requesting Services, the Patient confirms and warrants that they:

2. Obligations of the Parties

2.1. The Contractor shall:

2.1.1. inform the Patient of available free medical care within the GVFMC and CSHI programs;

2.1.2. provide medical services in accordance with clinical diagnostic and treatment protocols or, where absent, evidence-based practice;

2.1.3. assign an attending physician responsible for providing the Services;

2.1.4. engage qualified and competent medical personnel;

2.1.5. take all possible measures to ensure the Patient’s satisfaction with treatment results;

2.1.6. provide emergency medical care free of charge if a life-threatening condition arises during paid services;

2.1.7. issue invoices or receipts for actually rendered services in accordance with the current Price List and within established deadlines, and provide, upon request, medical and financial documentation;

2.1.8. provide a discount for repeated consultations, as indicated in the Price List;

2.1.9. maintain medical confidentiality and observe professional ethics and deontology.

2.2. The Patient shall:

2.2.1. provide the requested personal and medical data (test results, diagnostic findings, specialist reports) and current contact information;

2.2.2. inform the physician, prior to treatment, of previous illnesses, allergies, or contraindications;

2.2.3. fully comply with all prescriptions and recommendations;

2.2.4. strictly follow the prescribed regimen and diet;

2.2.5. treat the Contractor’s property and equipment with care and compensate any material damage in full;

2.2.6. acknowledge that violation of internal rules or medical prescriptions entitles the Contractor to terminate treatment or discharge the Patient early;

2.2.7. make an advance payment of 80 % of the estimated cost one business day before hospitalization; final settlement is made based on actual services rendered;

2.2.8. for outpatient services, make 100 % prepayment before the start of services;

2.2.9. carefully read all informed consent forms and the consent for personal data processing;

2.2.10. present an identity document upon request for identification.

2.3 In case of failure to fulfill obligations on time, the Party shall notify the other Party within one day of the occurrence and cessation of a force-majeure event. The performance period shall be extended proportionally.

3. Rights of the Parties

3.3 Each Party retains other rights provided by the legislation of the Republic of Kazakhstan.

4. Procedure for the Provision and Payment of Services

4.1 The list and prices of services are established in the Price List posted on https://hemcenter.kz or available at the reception.

4.2 The Patient reviews the Price List and selects the required services.

4.3 For inpatient care, a detailed calculation is prepared. The Patient pays 80 % in advance and settles the balance upon signing the service completion certificate.

4.4 For outpatient care, payment is made in full on the day of service.

4.5. Payment methods:

4.6 Upon completion of services, the Patient receives medical conclusions, discharge summary, test results, referrals, and copies of records or invoices if required.

4.7 Outpatient services are rendered in consultation rooms; day-care services — in day-stay wards; 24-hour inpatient services — in overnight wards. Single rooms are subject to an additional charge.

4.8 The Contractor may provide additional non-medical services.

4.9 If the Contractor’s medical profile does not correspond to the Patient’s life-threatening condition, the Contractor shall arrange transfer to a specialized institution at its own expense.

4.10 If the Patient cancels services after payment, the Agreement is terminated and funds are refunded minus incurred costs, subject to presentation of a fiscal receipt.

5. Liability of the Parties

5.1 The Contractor is liable for:

5.2 For non-performance, the Parties are liable in accordance with the legislation of the Republic of Kazakhstan.

5.3 The Patient shall pay a penalty of 1 % of the contract amount for each day of payment delay.

5.4 All disputes shall be resolved under the laws of the Republic of Kazakhstan.

6. Force Majeure

6.1 The Parties shall not be liable for non-performance of this Agreement caused by force-majeure circumstances (war, natural disasters, etc.).

6.2 The Contractor shall not be liable for penalties during force-majeure events.

6.3 The Contractor shall notify the Customer of such circumstances and their reasons. In the absence of instructions, the Contractor shall continue execution to the extent possible.

7. Final Provisions

7.1 The rights and obligations under this Agreement may not be transferred to third parties without written consent, except where third-party providers are engaged.

7.2 The rights of the Parties are governed by the Code of the Republic of Kazakhstan “On the Health of the People and the Healthcare System.”

7.3 The Parties must promptly notify each other of changes in their details.

7.4 The Patient confirms that they have read and agreed to all terms of this Agreement and its Appendices.

7.5 The Contractor shall provide a hard copy of the Agreement upon the Customer’s written request.

8. Term of the Agreement

8.1 This Agreement is made in Kazakh and Russian languages and enters into force upon the Patient’s signing of Appendix No. 1, which constitutes full acceptance.

8.2 The Agreement remains in effect until the Parties fulfill their obligations, terminate it, or withdraw with one business day’s notice.

8.3 Amendments shall be valid only when signed by both Parties.

9. Appendices

9.2 Appendix No. 2 — Price List of Paid Medical Services.

10. Details of the Parties

10.1 The Customer’s (Patient’s) details are those indicated in the physician’s referral and provided under Clause 2.2.1.
